TERMS AND CONDITIONS OF USE OF Message Boards Plus

1. USER AGREEMENT

Allow us to welcome you to Message Boards Plus, a service that includes "Fast Info Finder," "Express Yourself" and "Express Yourself Plus" (collectively referred to as the "Service") provided by iVillage Inc. (the "Website" or "iVillage"). We are pleased to offer you access to the Service, subject to these Terms and Conditions of Use (the "Terms and Conditions"), the applicable iVillage Terms of Service (the "Terms of Service") and the applicable iVillage Privacy Policy (the "Privacy Policy"), found at http://www.ivillage.com/help/tos.html. If you do not agree to the Terms and Conditions, please do not subscribe to or participate in a trial offer for the Service. By accessing and using the Service, you express your consent to, agreement with and understanding of the Terms and Conditions, the Privacy Policy and the Terms of Service, and become an iVillage member.

iVillage Inc. may, in its sole discretion, modify, restrict, change or otherwise alter the Terms and Conditions, the Privacy Policy or the Terms of Service of the Service, in whole or in part, impose limits on certain features or services provided through the Service or restrict your access to part or all of the Service and/or the Website Service without notice to you. Please check these Terms periodically for changes. By continuing to access and use the Service through the Website you will be evidencing your consent to, agreement with and understanding of such modifications, change or alteration.

2. SUBSCRIPTION & BILLING

New subscribers to the Service will be required to fill out the registration form accessed by clicking on the "choose your billing plan" button on http://www.ivillage.com/messageboardsplus, which will ask for your name, postal and email address, age and valid credit card number (Visa, MasterCard or American Express), and will ask you to create a password.

3. BILLING

i. Monthly Billing Plans
As a monthly subscriber to the Service, you agree that we are permitted to charge your credit card the applicable monthly subscription fee, any applicable sales tax and any other charges you may incur in connection with your use of the Service. Each subscription fee will be billed at the beginning of your subscription(s) and on each thirty-day renewal period thereafter (each a monthly renewal) unless and until you cancel. All fees and charges are nonrefundable. We may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email.

ii. Yearly Billing Plans
As a yearly subscriber to the Service, you agree that we are permitted to charge your credit card a yearly subscription fee, any applicable sales tax and any other charges you may incur in connection with your use of the Service. The subscription fee(s) will be billed at the beginning of your subscription(s) and on each yearly renewal thereafter unless and until you cancel. Upon cancellation, you will receive a refund for all days unused in your year, with the rate of refund being equal to the yearly fee divided by 365, multiplied by whole days remaining. We may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email.

4. AUTOMATIC RENEWALS

i. Monthly Billing Plans
Your Monthly Service subscription(s) will be automatically renewed on a monthly basis. For your convenience, we will charge the monthly subscription fee to the credit card you provide to us during registration (or to a different credit card if you change your account information). Your subscription(s) will automatically renew for successive monthly subscriptions, without prior notice to you, until you cancel your subscription or we terminate it.

ii. Yearly Billing Plans
Your Yearly Service subscription will be automatically renewed on a yearly basis. For your convenience, we will charge the monthly subscription(s) fee to the credit card you provide to us during registration (or to a different credit card if you change your account information). Your subscription(s) will automatically renew for successive yearly subscriptions, without prior notice to you, until you cancel your subscription or we terminate it.

5. CANCELLATION

As noted above, you may cancel any of your subscriptions to the Service at any time. To cancel, please log in here using the email address and password associated with your iVillage account to access your subscription information, and choose the subscription you wish to cancel. Cancellation requests must be received five (5) days prior to the end of the then current monthly renewal period to avoid incurring charges for the next monthly subscription period. We do not provide refunds or credits for any partial monthly subscription periods.

6. PRIVACY

Please note that any use of the information you provide shall be governed by the iVillage privacy policy located below. Please note, however, that in connection with your subscription, iVillage will send you materials related to the subscription transaction, such as transaction confirmation, credit-card payment and subscription status notifications, and materials related to upgrades and improvements to the Service. iVillage may send you an optional survey via email that will ask you to provide your thoughts on the Service.

7. MISCELLANEOUS

You must be at least eighteen (18) years of age and a U.S. or Canadian resident to subscribe to and use the Service. Once you are registered, you can log in to access the features of the Service by typing in your email address and password. By registering for the Service, you agree to (i) provide true, accurate, current and complete information about yourself as prompted by the Service registration form, and (ii) maintain and promptly update such information to keep it accurate.

With Express Yourself and Express Yourself Plus, subscribers have the option to add attachments to their messages. These attachments will be removed from messages after one year.

The Terms and Conditions, together with iVillage Terms of Service, and the applicable iVillage Privacy Policy constitute the entire agreement between you and iVillage with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and iVillage with respect to the Service. If any provision of the Terms and Conditions and/or the iVillage Terms of Service is deemed invalid or unenforceable for any reason, such provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms and Conditions and the iVillage Terms of Service shall continue in full force and effect.
