Sunday Night Football Recipe Contest

PRELIMINARY INFORMATION: NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE CHANCES OF WINNING. The Sunday Night Football Recipe Contest ("Contest") is void where prohibited. Entrants must submit a Recipe (as defined below) in accordance with these official contest rules ("Official Rules"). The Contest begins at 12:00:01 a.m. Eastern Time ("ET") on December 5, 2008 and ends at 11:59:59 p.m. ET on January 7, 2009 ("Contest Period"). All times in this Contest refer to Eastern Time. Participation in the Contest is subject at all times to compliance with these Official Rules and with all applicable federal, state and local laws.

ELIGIBILITY: Open only to permanent, legal U.S. residents physically residing in one (1) of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of December 5, 2008.

Entrants may not be and may not intend to be, during (6) six months from entrant's date of entry, a candidate for any public office. Entrants may not be a professional actor or a member of SAG, AFTRA, AGVA, Equity or any other guild or union associated with the performing arts. Officers, directors, and employees of Contest Entities (as defined below), members of these persons' immediate families (spouses and/or parents, children, and siblings, and their respective spouses, regardless of where they reside), and/or persons living in the same households as such persons (whether or not related) are not eligible to enter or win the Contest. "Contest Entities," as referenced herein, shall include Sponsor (as defined below), and its respective parents, subsidiaries, and affiliate companies and their administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Contest. This Contest is subject to all applicable federal, state and local laws.

TO ENTER: Access the Contest web site at http://food.ivillage.com/holiday/superbowl/1,,dsr2hb4d,00.html ("Web Site") and click on the Contest icon or text link, either of which will take you to the Contest page, then follow the directions provided to complete and submit the entry form. Information required on the entry form includes your first and last name, complete address (including zip code), telephone number (including area code), date of birth, and e-mail address (collectively, "Entry Information") and one (1) original dip recipe ("Recipe"). Your Entry Information and Recipe will together constitute one (1) entry ("Entry") into the Contest. All Entries, including Recipes, become the property of iVillage Inc., 904 Sylvan Avenue, Englewood Cliffs, NJ 07632 ("Sponsor'), and will not be acknowledged or returned. Your Recipe must be original and your own creation (that is, written by you) and must be no more than four hundred (400) total words in length (a maximum of one hundred and fifty words (150) will be accepted for the ingredients and a maximum of two hundred and fifty (250) words will be accepted for the instructions on how to prepare the dip). By entering the Contest, entrants grant Sponsor the non-exclusive, royalty-free, irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Recipes and to incorporate them in other works in any and all markets and media, whether now known or hereafter developed, throughout the universe in perpetuity. Entrant unconditionally assigns and transfers all ideas, concepts, copyrighted materials and trademarks contained in the Recipe and any and all rights including "moral rights" in the Recipe to the Sponsor. Sponsor has the right to use, assign, modify, edit, adapt, dispose, and alter Recipes, including but not limited to, for moral rights, to appear in promotional and/or commercial materials, as well as to reproduce them, in whole or in part, without compensation, notification, or additional consent from entrant or any third party. Entrants warrant that they have the sole and exclusive right to grant such rights to Sponsor, and that the Sponsor's reproduction, publishing, displaying, and/or other use of the Recipes will not infringe on any rights of third parties, including, but not limited to, copyright, trademark, privacy, or publicity rights, or create claims for false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract, anywhere in the world. Entrants agree that Sponsor shall have no obligation to copy, publish, display, or otherwise exploit the Recipes. Recipes must not include materials (language, phrases, quotations, etc.) belonging to or copyrighted by third parties. Any such Recipes will be disqualified. Recipes must not have been previously published, performed, or otherwise exhibited. Recipes must not contain the name of any fictitious character(s) or any person, unless such person has consented in writing to such use. Recipes must not contain any material that infringes upon any personal, proprietary, or any other right of any third party. Recipes must not contain any obscene or otherwise objectionable material (as determined by Sponsor within its sole discretion, including, without limitation, references to alcoholic beverages, tobacco, drug paraphernalia, firearms, or any description or representation thereof. Recipes must not contain any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation, and must not portray Sponsor in a negative light (as determined by Sponsor in its sole discretion). Recipes must not contain any material that: (a) would give or threaten to give rise to criminal or civil liability; (b) encourages conduct that constitutes a criminal offense; (c) encourages or provides instructional information about illegal activities or (d) references any brand name products. You acknowledge that your consideration for the rights you grant Sponsor is, among other things, the possibility of Sponsor's review and/or use of your Entry. You will not receive any compensation of any kind for your Entry. Your Entry will not be acknowledged, returned or held "in confidence."

Entries must be received before January 7, 2009 at 11:59:59 P.M. ET to be eligible for the Contest. Limit one (1) entry per person or email address during the Contest Period. Multiple entries received from any person or email address beyond this limit will be disqualified, and Contest Entities are not responsible or liable for multiple Entries beyond those authorized by these Official Rules. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion (including, without limitation, at Sponsor's and/or any other entity's servers), are void and will not be accepted. Contest Entities are not responsible for incorrect or inaccurate transcription of Entry information. In case of a dispute as to the identity of the person who submitted a potentially winning Entry, Sponsor may, in its sole discretion, deem the Entry to have been made by the authorized account holder of the email address submitted at time of Entry, according to the records of the email service provider. Entry constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, image, voice and/or Recipe in any and all markets and media, whether now known or hereafter developed, throughout the universe in perpetuity for purposes of advertising, promotion, and publicity without additional compensation, notification, permission or approval.

Entrants will have the opportunity to receive information from Sponsor and selected partners by checking the appropriate box. If, at any time, you no longer wish to receive materials from Sponsor and selected partners, please go to Sponsor's privacy policy, located at http://www.ivillage.com/about/0,,qqzh,00.html or the privacy policy of the applicable partner and follow the procedures indicated.

JUDGING AND WINNER SELECTION: On or about January 8, 2009, and continuing until on or about January 15, 2009 all eligible Recipes will be judged by a panel of qualified judges ("Judges") who will select the potential prize winner ("Winner'). Recipes will be judged based upon the following criteria: 1) Originality (25 points) and 2) Creativity (25 points) ("Judging Criteria"), for a maximum possible total of fifty (50) points. The entry that receives the highest total scores will be declared the potential Winner subject to verification of eligibility and compliance with these Official Rules. In the event of a tie, the tied entrant who scored the most "Originality" points will be declared the Winner. In the event of a further tie, the tied entrant who scored the most "Creativity" points will be declared the Winner. In the event of any remaining tie, the tied Entries will be re-scored as above by the Judges until the tie is broken. Recipes (and the applicable Entries) that are not reasonably pertinent to the Judging Criteria, as determined by Sponsor in its sole discretion, or are otherwise in violation of these Official Rules will be disqualified. Sponsor reserves the right to not select a Winner or to extend the Contest Period if in its sole discretion, it does not receive a sufficient number of eligible and qualified entries.

NOTIFICATION OF CONTEST WINNER: Sponsor and/or its representatives will make two (2) attempts to notify the potential Winner on or about January 15, 2009 at the phone number and/or email address submitted at the time of Entry. Potential Winner will be required to execute and return (via shipping service pre-paid by Sponsor) an Affidavit of Eligibility, Liability Release, Publicity Release (where legal), a copy of her/his government-issued photo identification, an IRS Form W-9 and any other documentation that Contest Entities may require (collectively, "Contest Documents") within two (2) days after receipt of these documents by potential Winner. Noncompliance within this time period may result in disqualification (in Sponsor's sole discretion), and the runner-up with the next highest score from the remaining eligible Entries may be declared the potential Winner. By returning the completed Contest Documents, the potential Winner attests to the authenticity of her/his Entry. Potential Winner may also be required to fax the completed Contest Documents to Sponsor or Sponsor's representatives within twenty-four (24) hours of receipt of these documents by potential Winner. Faxed Contest Documents will have the same force and effect as the originals. If potential Winner cannot be reached, if she/he is found to be ineligible, if she/he cannot or does not comply with these Official Rules, and/or if her/his prize or prize notification is returned as undeliverable, the potential Winner will be disqualified and the entrant with the next highest score may be declared the potential Winner.

PRIZE: There will be three (3) prize awarded ("Prize"), consisting of the following: A dinner for Winner and one (1) guest at the top restaurant featured in the Sunday Night Football Cookbook and the Sunday Night Football Cookbook. Approximate Retail Value two hundred and fifty dollars ($250). If there is not a restaurant in the city of the Winner's residence, Winner will receive an American Express gift certificate in the amount of two hundred and fifty dollars ($250). Gift certificate is subject to certain terms and conditions as specified by American Express. Sponsor will not replace any lost certificates. All Prize details not specified herein are at the sole discretion of Sponsor. Sponsor may substitute a prize (or prize component) with one of equal value for any reason at its sole discretion. All federal, State, or other taxes, expenses, costs, or fees associated with the acceptance and/or use of prize are the sole responsibility of the Winner. Prize cannot be transferred by Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of prize by Winner. If any prize is unclaimed, it will be forfeited, and awarded to the runner-up based on the Judging Criteria above. If a Prize element is not available for any reason, the remaining elements of the Prize shall be awarded and shall constitute full satisfaction of Sponsor's prize obligation to Winner, and no additional compensation will be awarded.

GENERAL CONDITIONS AND DISCLAIMERS: By entering the Contest, each entrant agrees for entrant and for entrant's heirs, executors, and administrators: (a) to release and hold harmless Contest Entities and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in the Contest and/or her/his acceptance, possession, use, or misuse of Prize or any portion thereof; (b) to indemnify Released Parties from any and all liability resulting or arising from the Contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by Prize supplier that may come with Prize; and (c) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Judges and Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Contest.

ADDITIONAL TERMS: Sponsor reserves the right to terminate the Contest or permanently disqualify from any promotion any person it believes has intentionally violated these Official Rules, acts with an intent to annoy, abuse, threaten, or harass any other entrant, Sponsor, or Sponsor's agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Any attempt to deliberately damage the Contest or operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. Sponsor reserves the right to cancel or modify the Contest or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason, including should any computer virus, malfunction, or other cause beyond their control corrupt the administration, security, or proper operation thereof. In the event of cancellation, Prize will be awarded based on judging of all salvageable eligible Entries received prior to the event requiring cancellation. Notice of such cancellation will be posted at the Web Site. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor or other "force majeure" event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants' or to any other person's computer and/or telephone relating to or resulting from entering or downloading materials or software in connection with the Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, mobile telephone service, or computer failures of any kind; for inaccurate transcription of Entry Information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.

DISPUTES: THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
