Another question (about taxes in general)

If an exec is compensated $200k per year, but paid $3 million in stock options in one year, does she only pay tax when she sells her shares? Does the company pay tax on those shares, provided as a form of compensation? Are stock options exempt from SS, unemployment, etc?

Stock options are subject to tax at two points.


When you exercise the stock options (in other words, when you decide to turn the options into actual shares of stock), you're taxed on the spread.

Are there tax advantanges for companies to offer stock options, other than employees being more "invested" in the company's success?

I'd love to see a flat tax system. Unfortunately, for McCain, I think it's too little too late.
