THE HYUNDAI BROADWAY GIVEAWAY SWEEPSTAKES

NO PURCHASE NECESSARY TO ENTER OR WIN. MAKING A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. The Hyundai Broadway Giveaway Sweepstakes (the "Sweepstakes") is jointly sponsored by iVillage Inc. ("iVillage"), 500 Seventh Avenue, 14th fl., New York, NY 10018 and Hyundai Motor America ("Hyundai"), 10550 Talbert Avenue, Fountain Valley, CA 92708. (iVillage and Hyundai are sometimes referred to jointly herein as the "Sponsors" and all references to Sponsors shall, unless otherwise indicated, be deemed to include both iVillage and Hyundai.)

1. ELIGIBILITY: Open only to legal residents of the fifty (50) United States and the District of Columbia, who are 18 years of age or older at time of entry. Employees of Sponsors, and their respective parents, affiliates, subsidiaries, dealerships and advertising and promotion agencies, and their immediate family members (parent, child, spouse, sibling and their respective spouses) and/or those living in the same household of each, whether or not related, are not eligible to participate or win in the Sweepstakes. Void where prohibited by law. All applicable federal, state and local laws apply.

2. HOW TO ENTER: Beginning 12:00am Eastern Time ("ET") on August 8, 2005 through 11:59pm ET on September 18, 2005 (the "Entry Period"), go online to http://www.ivillage.com/partnerss/hyundai/broadway and follow the on-screen entry instructions. Entries must be received by 11:59pm ET on September 18, 2005. Limit one (1) entry per unique email address or person or household as determined by name and unique email address per day for a maximum of forty two (42) entries for the entire Entry Period. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. All entries become the property of the Sponsors.

3. RANDOM DRAWING/WINNER NOTIFICATION: Potential winner will be selected in a random drawing on or about September 22, 2005 from among all eligible entries received during the Entry Period by iVillage, whose decisions are final and binding with respect to all matters related to the Sweepstakes. Odds of winning will depend upon the number of eligible entries received. Potential winner will be notified by email and/or mail and may be required to sign and return an Affidavit of Eligibility/Release of Liability/Publicity (where legal) form within seven (7) days of attempted notification. Noncompliance within this time period, with these Official Rules or the return of any prize/prize notification may result in disqualification and, at Sponsors' discretion, an alternate potential winner may be selected.

4. PRIZE: One (1) Grand Prize Winner will receive a trip for two (2) to New York City, NY. Trip consists of: (i) round-trip coach air transportation for two (2) (the Winner, and one travel companion of his or her choice) to New York, NY from major U.S. gateway airport nearest the winner's home; (ii) standard hotel accommodations for two (2) nights one room, double occupancy; (iii) tickets to see the Broadway Play Mama Mia (iv) dinner for two (Approximate Retail Value $2,200). Winner is responsible for all federal, state and local taxes, additional meals/gratuities, transportation and any other costs and expenses while on trip not mentioned herein as being awarded. Certain travel restrictions and blackout dates apply. Travel arrangements must be made through iVIllage's agent, on a carrier of iVillage's choice, at least 21 days in advance, but no later than September, 2006. Each guest must be of legal age of majority in his/her state of residence (and at least 18 years of age), unless accompanied by a parent or legal guardian. Each guest (or, if a minor, his/her parent or legal guardian) must execute and return a liability/publicity prior to ticketing. Winner and guests must travel together on the same itinerary and are responsible for obtaining all travel documents required by airline. Trip expires one year from the date of notification. Approximate Retail Value ("ARV") of Grand Prize: $2,200. Actual retail value may vary depending upon Winner's point of origin and dates of travel. No transfer, substitution or cash redemption will be awarded in lieu of stated prize except by iVillage who reserve the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. All prize details not specified herein are at the sole discretion of iVIllage.

5. GENERAL RULES: Acceptance of prize constitutes permission to the Sponsors and their designees to use winner's name, city, state, likeness, voice, biographical information and statements for purposes of advertising, promotion and publicity in any and all media, now or hereafter known, throughout the world in perpetuity without additional compensation, notification or permission, unless prohibited by law. By participating, entrant (i) agrees to release and hold Sponsors, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and each of their respective directors, officers, employees and assigns (collectively, the "Released Parties"), harmless against any and all claims and liability arising out of participation in the Sweepstakes or misuse, nonuse or use of the prize (including any travel or activity related thereto); (ii) waives all rights to claim punitive, incidental and consequential damages, attorney' fees or any damages other than actual out-of-pocket costs incurred to enter; and (iii) agree to be bound by the Official Rules and the decisions of the Sponsors and judges which are final and binding on all matters relating to the Sweepstakes. Released Parties are not responsible for incomplete, lost, late, damaged, illegible, misdirected, garbled, delayed or undelivered entries or referrals; or for technical hardware or software malfunctions or failures of any kind, lost, unavailable network connections, or failed, incomplete, garbled or delayed computer transmission, which may limit an individual's ability to participate. Sponsors reserve the right in their sole discretion, to cancel, suspend or modify the Sweepstakes, or to disqualify any implicated entrant(s), if any fraud, virus, actions by entrants, technical or other error or problem, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Sweepstakes, as determined by Sponsors in their sole discretion. In the event of cancellation, Sponsors reserve the right, at their sole discretion, to award the prize in a random drawing from among all eligible, non-suspect entries received up to the time of the event or action warranting such cancellation. In the event this Sweepstakes is cancelled prior to the stated end date, a notice will be posted at http://www.ivillage.com/partners/hyundai/broadway. CAUTION: Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws, and should such an attempt be made, Sponsors reserve the right to seek damages from any such entrant to the fullest extent permitted by law, including criminal prosecution. In the event of such a dispute or in the event a potential winner entered via internet and a dispute arises regarding specific individual entitled to receive prize, entries made by internet will be declared made by the authorized account holder of the email address submitted at the time of entry and any damage made to the web site will also be the responsibility of the authorized account holder. "Authorized account holder" is defined as the person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Released Parties are not responsible for any technical, mechanical, printing, typographical, human or other error relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in the administration of the Sweepstakes, the processing of entries, the announcement of the prize or in any Sweepstakes-related materials; or for any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Sweepstakes.

6. WINNER'S NAME: For the name of the winner, available after September 30, 2005, send a self-addressed, stamped (#10) envelope to: The Hyundai Broadway Giveaway Sweepstakes Winner, 500 Seventh Avenue, 14th Floor, New York, NY 10018, to be received by November 30, 2005.

NO WARRANTIES: Sponsors make no warranties covering any of the prizes furnished as part of this Sweepstakes.

GOVERNING LAW: This Sweepstakes and the rights and obligations of the Sponsors and participants will be governed by and controlled by the laws of the State of New York, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely within the State of New York, County of New York. The parties consent to the jurisdiction of the state courts of New York and federal court located with such state and county with respect to any action, dispute, or other matter pertaining to or arising out of this Sweepstakes.

PRIVACY: Winner's name and contact information will be shared by iVillage with Hyundai in order to contact winner for the purpose of fulfillment of prizes. Information supplied by non-winning entrants will be shared by iVillage with Hyundai for remarketing purposes only if the entrant has opted in to receive more information on the entry form by checking the box next to the corresponding copy.
